The implementation of Governance in the Bank is based on the following regulations:

POJK No.17 of 2023 concerning the Implementation of Governance for Commercial Banks;
POJK No.45/POJK.03/2015 regarding the Implementation of Governance in Providing Remuneration for Commercial Banks;
SEOJK No.14/SEOJK.03/2025 regarding the Implementation of Governance for Commercial Banks;
SEOJK No.40/SEOJK.03/2016 dated September 26, 2016 regarding the Implementation of Governance in Providing Remuneration for Commercial Banks;
POJK No.12/POJK.03/2020 concerning the Consolidation of Commercial Banks.

Along with the development of best practices in the implementation of Corporate Governance, both in the banking industry and the financial services industry, the Bank understands that the implementation and development of Corporate Governance has enormous benefits for the Bank. With the implementation and development of Corporate Governance, the Bank has guidelines in carrying out its business activities to always be in line with the objectives and needs of each stakeholder.

The implementation of Corporate Governance in the Bank is based on the basic principles of Corporate Governance, including Transparency, Accountability, Responsibility, Independence, and Fairness. The implementation of these principles within the Bank has been agreed by the Board of Commissioners, Board of Directors, and all employees of the Bank in order to create a strong banking structure and increase competitiveness that continues to grow through innovations in running its business.

In principle, the implementation of Governance is an integral part of the Bank's operations. By implementing the five basic principles of Governance, namely Transparency, Accountability, Responsibility, Independency, and Fairness, commonly referred to as TARIF. The description of these principles are:

Transparency, namely openness in the decision-making process and openness in the disclosure and provision of information that is relevant and easily accessible to Stakeholders.
Accountability, namely the clarity of functions and implementation of the responsibility of the Bank's organs so that its management runs effectively.
Responsibility, namely the conformity of the Bank's management with the provisions of laws and regulations and ethical values as well as standards, principles and good practices.
Independency, namely the management of the Bank independently and professionally and free from conflicts of interest and influence or pressure from any party that is not in accordance with the provisions of laws and regulations and ethical values as well as standards, principles and good practices.
Fairness, i.e. Equality, balance, and fairness in fulfilling the rights of stakeholders arising from agreements, provisions of laws and regulations, and ethical values as well as standards, principles and good practices.

Throughout 2024, the implementation of governance has become a special concern of the Bank's management as a continuous process in continuing the efforts that have become the Bank's commitment to all stakeholders, which mainly aims to:

Improve the efficiency of the Bank's performance through increased competence of Human Resources which in turn is expected to improve services to interested parties with the Bank, which are not only limited to customers, but also regulators (Bank Indonesia/OJK), government, employees, and shareholders.
Improve active supervision of the Board of Commissioners and the implementation of the duties and responsibilities of the Board of Directors in applying the principles of governance.
Enhance the role of all governance organs to protect the Bank from potential lawsuits, sanctions and reputational risks caused by the Bank's non-compliance with applicable regulations.
